These Terms of Service (“Terms”) govern your use of the Osmond Technologies, LLC website, services, and any products we provide. By accessing or using our services, you agree to these Terms.

Osmond Technologies, LLC provides technology consulting, IT services, digital media production, managed hosting, and related support services. Some services may require separate contracts, policies, or agreements—including but not limited to:

• Service Level Agreement (SLA)

• Backup Policy

• Third-Party Software & Plugins Policy

• Managed Services Agreement

• Privacy Policy

By using our services, you agree to comply with all applicable policies.


2. Client Responsibilities

Clients agree to:

• Provide accurate and complete information

• Maintain secure access to any accounts, passwords, or devices used for service delivery

• Comply with all applicable laws

• Use hosted services responsibly and in accordance with our Acceptable Use Policy (AUP)

Clients are responsible for the actions of anyone using their account or systems.


3. Payment & Billing

Unless otherwise stated in a written contract:

• Invoices are due upon receipt

• Late payments may result in service interruption

• Recurring services (including hosting or managed services) will automatically renew unless canceled in writing

• Custom work or emergency support may incur additional fees

You will be notified of any billing issues or payment failures.


4. Acceptable Use of Services

You may not use Osmond Technologies, LLC services for:

• illegal activities

• distributing malware or harmful code

• unauthorized access to networks or systems

• violating copyrights or other intellectual property rights

• hosting abusive, hateful, or harmful content

We reserve the right to suspend or terminate service for violations.


5. Third-Party Software & Integrations

Use of third-party plugins, themes, extensions, or software is subject to the Third-Party Software & Plugins Policy.

Clients are fully responsible for the security, compatibility, licensing, and performance of any third-party components they choose to install unless a separate maintenance agreement exists.


6. Data Backups & Recovery

Backups are handled according to our Backup Policy.

Clients are encouraged to maintain their own backups. Osmond Technologies, LLC is not liable for data loss outside the scope of contracted backup services.


7. Service Availability & SLA Credits

Hosting uptime, infrastructure guarantees, and hardware replacement timelines are governed by our Service Level Agreement (SLA).

Service credits are the sole remedy for SLA-related issues.


8. Limitation of Liability

To the fullest extent permitted by law, Osmond Technologies, LLC is not liable for:

• loss of data

• business interruption

• indirect or consequential damages

• damages caused by third-party software, user actions, or unauthorized access

Our total liability for any claim shall not exceed the total amount paid for services in the past 30 days.


9. Termination of Service

We may suspend or terminate services if:

• payments are overdue

• you violate any policy or agreement

• your use of services poses a security or operational risk

• we discontinue part of our service offering (with notice)

You may cancel services by sending written notice to support@osmondtech.com.


10. Changes to These Terms

We may update these Terms occasionally. If changes are significant, we will notify clients via email or through a notice on our website.

Your continued use of services constitutes acceptance of updated Terms.
